ENGIE executes ASSÚ SOL acquisition

ENGIE Brasil Energia, through its subsidiary ENGIE Brasil Energias Complementares Participações Ltda., executed today, September 28, the acquisition of the entirety of the equity capital of Assú Sol Geração de Energia SPE S.A., the holder of the Assú Sol Photovoltaic Complex project, which lies in the municipality of Assú, state of Rio Grande do Norte, with a total nominal installed capacity up to 750MW, with its development targeting the Free Contracting Environment.

The project will be implemented in a region where the Company already has a presence. The total amount of the operation is up to R$ 41,250,000.00 (forty-one million, two hundred and fifty thousand Brazilian Reais), payment of which will take place the project reaches development milestones according to schedule. The transaction is subject to the fulfillment of certain conditions precedent under the Agreement.

Currently, approximately 90% of ENGIE’s matrix in Brazil comes from renewable sources. “The acquisition increases by approximately 50% the installed capacity of our portfolio of projects at advanced stages of development, bringing it up to over 2.2 GW, in line with our strategy of investment in electric energy generation from renewable sources, accelerating the Brazilian electricity matrix’s transition,” stated ENGIE Brasil Energias Chief Executive and Investor Relations Officer, Eduardo Sattamini.

The transaction also reinforces ENGIE’s presence in Rio Grande do Norte, where it has been operating a photovoltaic generation asset since 2017, and is currently investing R$ 2.3 billion to implement the Santo Agostinho Wind Complex in the municipalities of Lages and Pedro Avelino, which lie approximately 100 kilometers from Assú.
