The management of ENGIE Brasil Energia (EGIE3) completed the sale to FRAM Capital of the Jorge Lacerda Thermal Complex, located in Capivari de Baixo, in the south of Santa Catarina. The deal was closed this Monday, October 18th, before the end of the 60-day period from execution of the sale agreement on August 30, 2021. The asset\u2019s annual installed capacity is 857 MW.<\/p>\n

The purchase price for a 100% equity stake in controlled entity Diamante Gera\u00e7\u00e3o de Energia, which holds CTJL, is up to R$ 325 million, of which R$ 210 million were paid on the operation close and R$ 115 million are subject to the fulfillment of certain conditions precedent, which shall take place by the end of 2022.<\/p>\n

\u201cConclusion of the sale of the Jorge Lacerda Thermal Power Plant Complex is positive for ENGIE\u2019s plans to focus operations and investments in renewable energy and transmission infrastructure projects. In addition, it is important for the economy of the south of Santa Catarina to reinvent itself, enabling a socially fair transition and mitigating potential impacts compared with a process of short-term discontinuation of the operations,\u201d said Eduardo Sattamini, Chief Executive and Investor Relations Officer of ENGIE Brasil Energia.<\/p>\n

Furthermore, the Company granted Diamante Holding Participa\u00e7\u00f5es Ltda. a purchase option for the Norte Catarinense Themal Power Plant Project, which comprehends the future implementation of a natural gas-burning plant with approximately 600 MW in installed capacity in the Municipality of Guaruva, in the North of Santa Catarina State.<\/p>\n

With the CTJL sale, approximately 97% of ENGIE\u2019s matrix in Brazil are now renewable, coming from hydroelectric, wind, solar and biomass generation sources. Another coal-burning Company asset is the Pampa Sul Thermal Power Plant, with 345 MW in installed capacity and also up for sale, in line with the Group’s global strategy to exit from coal-burning operations by 2025 in Brazil and 2027 worldwide.<\/p>\n
